The Opportunity:

We are seeking a collaborative problem-solver with a comprehensive legal background and a commercial mindset to join us as our General Counsel.  You will be a key member of our senior management team and have broad influence across our diverse business.  Other members of our senior management team will seek and rely on your counsel regarding important business goals and legal risk.  As our sole in-house attorney, you must relish the opportunity to wear many hats and transition between them seamlessly. 

You will report directly to our Chief Operating Officer.  We are flexible regarding location and are open to you joining us in Seattle or San Francisco.  If you are located in San Francisco, we need/expect you to be open to regular Seattle travel.

Key Responsibilities:

  • Provide strategic advice and counsel across a broad range of legal and business matters, including firmwide initiatives and business plans

  • Negotiate and draft firm legal documents, including governing documents, referral agreements, compensation and equity arrangements and employment and retention agreements

  • Oversee and manage all disputes, litigations, arbitrations and settlements

  • Design, execute and manage private investment funds and investment structures

  • Lead all legal aspects of the investment lifecycle, from evaluation and structuring through acquisition/investment, ownership and disposition

  • Negotiate and/or draft a wide range of transaction documents, including letters of intent, equity and asset purchase agreements, financing agreements and confidentiality agreements

  • Lead and manage our external legal resources, including evaluating the quality and efficacy of those resources

  • Serve as an integral member of our Risk Committee, evaluating and resolving conflicts of interest and disciplinary matters, among other things

  • Partner with our Chief Compliance Officer regarding regulatory and compliance matters, including reviewing various marketing materials and investor/client communications and assisting with regulatory filings, as appropriate

  • Oversee firm intellectual property

Your Experience:

  • J.D. from an ABA accredited law school and a member in good standing of at least one state bar

  • 10+ years of legal experience, preferably split between a law firm and in-house at a SEC-registered investment adviser

  • Comprehensive knowledge of the Investment Advisers Act of 1940, the Investment Company Act of 1940, ERISA and US securities laws

  • Familiarity with US federal and state privacy laws and CFTC rules and regulations applicable to private investment funds and investment advisers

  • Substantial experience forming and maintaining private investment funds

  • Significant understanding of contract law and substantial hands-on drafting and negotiation skills
