Important Risk and Disclosure Information
As of 6/30/2025. Net asset value (“NAV”) represents the fair value of the Fund’s assets minus its liabilities, determined in accordance with the Fund’s valuation policy. Because most real estate assets are valued using appraisals or other estimates rather than actual sale prices, these values involve significant judgment and may differ materially from the amounts ultimately realized. Any inaccuracies in the assumptions underlying NAV may cause reported returns to differ from actual results. NAV generally is reported for the fund in aggregate, which includes affiliate capital as well as General Partner accrued and unpaid incentive allocations, if any.

Summary of Risk Factors
Investing in private real-estate funds involves substantial risks, and you should carefully read the Fund Documents for a description of risks and conflicts of interest associated with the Fund. Here is a summary of key risks:
- Loss of Capital: You could lose some or all of your investment. Investors have very limited voting rights and no right to participate in the management of the Fund.
- Illiquidity: Interests in the Fund are highly illiquid. Investors may not withdraw capital for at least five years, and the amount of withdrawals are subject to strict limits. Investors may not sell or transfer their interests without the Fund’s consent.
- Fees and Expenses: The Fund’s fees and expenses, including incentive fees that are based upon a percentage of the realized and unrealized gains, may offset all or a significant portion of profits. An investor’s net returns may differ significantly from investment returns as a result of such fees and expenses.
- No Limits on Investments: The Fund is not subject to any fixed limits on concentration by industry, company, geographic region, asset type, degree of leverage, liquidity, or any other risks. The Fund is permitted to pursue many different investment strategies, including strategies not previously pursued or described to investors. There can be no assurance that the Fund’s investment or other objectives will be achieved. The Fund is not required to hedge any risk and may take risk on a completely unhedged basis.
- Leverage: Borrowing by the Fund increases both potential gains and potential losses. Borrowing may increase the volatility of the Fund’s performance and the risk of loss of all capital.
- Real Estate Risks: Investments in real estate are subject to numerous market and economic risks, including changes in interest rates, credit conditions, inflation and overall economic growth. Property values and rental income may fluctuate due to shifts in tenant demand or local market conditions, as well as taxes and casualty events including natural or manmade disasters. Real estate projects involving development or renovation face additional risks related to construction delays, cost overruns, and the availability of permits or financing. Moreover, changes in zoning laws, environmental regulations, and tax policies may adversely affect property operations and investment returns.
- Valuation Uncertainty: Real estate investments are highly illiquid. Valuations are typically based on appraisals and may not reflect actual sale prices.
- Regulation: As a privately offered fund, the Fund is subject to less regulation than other pooled investment vehicles, such as mutual funds.
- Conflicts of Interest: The Fund’s manager and its affiliates may have incentives that differ from those of investors. For example, performance-based fees may create an incentive to make riskier or more speculative investments.
- Tax Considerations: Investments involve complex tax structures, may involve tax inefficient investing, and there may be delays in distributing important tax information. Consult your own tax advisor.
